Conditions applicable to our services

2. Purpose and Scope
These Terms and Conditions apply to all services offered by Keepmania, including:
- Website creation and development
- Business process automation
- Chatbot and AI assistant development
- Digital marketing and SEO/SEA
- Website maintenance and hosting
- Digital training and consulting
Any order implies unconditional acceptance of these Terms.
3. Quotation and Order
3.1 Quotation
Every project is subject to a free, personalized quote. Quotes are valid for 30 days from the date of issue.
3.2 Order Acceptance
The order becomes final after:
- Written acceptance of the quote by the client (email, signature)
- Payment of the agreed deposit (generally 30% to 50%)
3.3 Modifications
Any modification requested after acceptance of the quote may be subject to additional billing. An amendment to the original quote will then be proposed.
4. Prices and Payment
4.1 Pricing
Prices are quoted in euros (€), excluding VAT unless otherwise stated. Applicable VAT (21% in Belgium) will be added to the net amount.
4.2 Payment Terms
Payments are made according to the schedule defined in the quote, generally:
- 30% to 50% upon order
- Balance upon delivery, before going live
4.3 Accepted Payment Methods
- Bank transfer
- Credit card (Visa, Mastercard, Bancontact)
- PayPal
- Apple Pay / Google Pay
- Klarna (installment payment)
4.4 Late Payment
In case of late payment:
- Late payment interest at the legal rate will be applied
- A flat fee of €40 for collection costs
- Keepmania reserves the right to suspend ongoing services
5. Delivery Times
Delivery times indicated in the quote are for guidance only. They do not constitute a firm commitment and depend on:
- The provision of elements by the client (texts, images, content)
- Client feedback and validations within the expected timeframe
- The complexity of the project
Keepmania undertakes to inform the client of any significant delay.
6. Client Obligations
The client undertakes to:
- Provide all necessary elements within the agreed timeframes
- Designate a single point of contact for the project
- Validate project stages within a reasonable timeframe
- Guarantee that they hold the rights to the content provided
- Pay invoices on the due dates
7. Keepmania Obligations
Keepmania undertakes to:
- Perform services in accordance with the accepted quote
- Respect industry standards and best practices
- Regularly inform the client of project progress
- Ensure the confidentiality of information communicated
- Deliver a functional product that meets specifications
8. Intellectual Property
8.1 Transfer of Ownership
The transfer of ownership of created elements (code, design, content) to the client is only effective after full payment of invoices.
8.2 Reserved Rights
Keepmania retains the right to use created works for reference and portfolio purposes, unless otherwise agreed in writing.
8.3 Third-Party Elements
Certain elements (royalty-free images, plugins, libraries) may be subject to third-party licenses. The client will be informed of these licenses.
9. Delivery and Acceptance
9.1 Delivery Procedure
Delivery is effected by:
- Going live on the client's server
- Sending source files (if provided for in the quote)
- Transmission of access credentials and administration codes
9.2 Validation and Acceptance
The client has 15 days after delivery to report any defects or non-conformities. After this period, the service is considered accepted.
9.3 Corrections
Corrections reported within the acceptance period will be made free of charge if they concern elements provided for in the quote.
10. Warranty and Maintenance
10.1 Warranty
Keepmania guarantees the proper functioning of delivered services for 3 months following acceptance. This warranty covers bugs and technical malfunctions.
10.2 Warranty Exclusions
The warranty does not cover:
- Modifications made by the client or a third party
- Problems related to hosting or domain name
- Security updates of CMS and plugins
- Requests for developments or new features
10.3 Maintenance Contract
A maintenance contract can be subscribed for ongoing monitoring and updates of the website. The conditions are defined in a separate contract.
11. Liability
11.1 Limitation of Liability
Keepmania's liability is limited to the amount of invoiced services. Under no circumstances can Keepmania be held liable for indirect damages (data loss, loss of revenue, image damage...).
11.2 Force Majeure
Keepmania cannot be held liable in cases of force majeure (natural disaster, pandemic, general internet outage...).
12. Termination
12.1 Termination by Client
In case of termination by the client before project completion:
- The deposit paid remains with Keepmania
- Services already performed will be invoiced
12.2 Termination by Keepmania
Keepmania may terminate the contract in case of:
- Non-payment of invoices after reminder
- Non-provision of necessary elements after formal notice
- Behavior incompatible with continuing the relationship
13. Confidentiality
Each party undertakes to keep confidential the information exchanged within the framework of the project. This obligation continues for 2 years after the end of the contractual relationship.
14. Data Protection
The processing of personal data is governed by our Privacy Policy.
15. Applicable Law and Disputes
These Terms are governed by Belgian law. In the event of a dispute, the parties undertake to seek an amicable solution. Failing agreement, the courts of Liège (Belgium) shall have exclusive jurisdiction.
16. Modifications to Terms
Keepmania reserves the right to modify these Terms. Modifications do not apply to ongoing contracts.
